Terms of Service for Northbridge Estate Planning Inc.

Effective Date: September 23, 2026

1. Introduction and Acceptance of Terms

These Terms of Service (the “Terms”) govern your access to and use of the services, materials, consultations, and related deliverables provided by Northbridge Estate Planning Inc. (“Northbridge Estate Planning Inc.”, “we”, “us”, or “our”). By engaging our services, scheduling a consultation, signing an engagement letter, or otherwise using our services, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not use our services. These Terms apply in addition to any written engagement letter, statement of work, retainer agreement, fee agreement, or other contract we may enter into with you. If there is a conflict between these Terms and a signed written agreement, the signed written agreement will govern to the extent of the conflict.

Our services are provided in Canada and are intended for individuals, families, executors, trustees, business owners, and other clients seeking estate-planning support. These Terms are intended to comply with applicable laws in Canada, including applicable provincial and federal laws, and should be read together with any applicable legal advice, professional obligations, and privacy laws.

2. Scope of Services

Northbridge Estate Planning Inc. provides estate-planning and related support services, which may include, depending on the engagement:

  • Will planning and drafting;
  • Powers of attorney for property and personal care;
  • Estate review and beneficiary coordination;
  • Trust planning and family inheritance strategies;
  • Probate and estate administration support;
  • Executor guidance and document organization; and
  • Business succession planning.

Our services may include consultations, document preparation assistance, coordination with third parties, administrative support, and strategic planning. Unless expressly agreed in writing, our services do not include court representation, tax filing services, securities advice, accounting services, investment advice, or legal services requiring a lawyer license where such licensing is required.

We may rely on information and instructions provided by you. You are responsible for reviewing all documents carefully and seeking independent legal, tax, financial, or accounting advice where appropriate. We do not guarantee any particular legal, tax, or financial outcome.

3. User Obligations and Responsibilities

By using our services, you agree to the following obligations:

  • You will provide complete, current, and accurate information, including full names, addresses, family details, asset information, beneficiary designations, and other relevant facts.
  • You will promptly notify us of any changes that may affect your estate plan, including marriage, separation, divorce, birth, adoption, death, incapacity, relocation, business changes, or significant changes in assets or liabilities.
  • You will review all drafts, final documents, and instructions carefully before signing or relying on them.
  • You will not use our services for any unlawful, fraudulent, or misleading purpose.
  • You will cooperate with reasonable requests for documents, identification, and information needed to complete your engagement.
  • You acknowledge that failing to disclose material facts may affect the validity, enforceability, or effectiveness of your estate plan or related documents.

You are solely responsible for ensuring that your estate plan reflects your personal wishes and current circumstances. Where required, you are responsible for witnessing, notarization, execution formalities, registration, storage, and delivery of original documents, unless we expressly agree in writing to arrange such services.

4. Payment Terms and Conditions

Fees for services will be communicated in advance, typically through an engagement letter, estimate, invoice, or service package description. Unless otherwise stated, all fees are in Canadian dollars (CAD) and are exclusive of applicable taxes, which will be added where required by law.

  • Fees may be charged on a flat-fee, hourly, retainer, or project basis, depending on the nature of the work.
  • Any quoted estimate is based on the information available at the time and may change if the scope of work changes or if additional time is required due to complexity or incomplete information.
  • Invoices are payable by the due date stated on the invoice or engagement agreement.
  • Late payments may result in suspension of services, delayed delivery of documents, and/or interest or late charges permitted by law or agreed in writing.
  • You are responsible for any third-party costs, including court filing fees, government charges, courier fees, registration fees, appraisal costs, valuation costs, or other disbursements, unless otherwise agreed in writing.

We may require a deposit or retainer before commencing work. Any retainer received may be applied to fees and disbursements as work is performed, in accordance with the terms of our engagement and applicable law.

5. Cancellation and Refund Policy

You may cancel your engagement by providing written notice to us. Cancellation does not relieve you of responsibility for fees incurred up to the effective date of cancellation, including work completed, expenses incurred, and non-refundable third-party charges.

Unless otherwise required by applicable law or expressly stated in a written agreement, the following apply:

  • Deposits or retainers may be non-refundable to the extent they have been earned or used to cover work completed or disbursements incurred.
  • Refunds, if any, will be calculated based on services not yet performed and costs not yet incurred.
  • Work that has been substantially completed, customized, or delivered may not be eligible for a refund.
  • Where services are terminated due to your breach of these Terms or failure to cooperate, no refund may be due beyond any amount required by law.

If a statutory cancellation or consumer right applies under applicable law, nothing in these Terms limits that right. Refunds, if approved, will be issued to the original payment method or by another reasonable method at our discretion.

6. Liability Limitations

To the fullest extent permitted by law, Northbridge Estate Planning Inc. shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of opportunity, loss of data, or reputational harm, arising out of or related to the use of our services.

To the fullest extent permitted by law, our total liability for any claim arising from or related to our services shall be limited to the amount of fees actually paid by you to Northbridge Estate Planning Inc. for the specific services giving rise to the claim during the three (3) months immediately preceding the event giving rise to the claim, or such other amount as may be required by applicable law.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, wilful misconduct, or gross negligence where such limitation is not permitted.

Estate planning involves personal, financial, and legal consequences. We do not warrant that any document will be accepted by a third party, government authority, financial institution, court, insurer, or beneficiary in every circumstance. You are responsible for ensuring proper execution, witnessing, and safekeeping of all documents.

7. Intellectual Property Rights

Unless otherwise agreed in writing, all templates, frameworks, checklists, methodologies, educational materials, website content, and other proprietary materials used or provided by Northbridge Estate Planning Inc. remain our intellectual property or the intellectual property of our licensors.

Upon full payment of applicable fees, you receive a limited, non-exclusive, non-transferable right to use the final documents prepared specifically for your engagement for your personal or internal business estate-planning purposes. This license does not permit resale, republication, distribution, or commercial exploitation of our materials.

You may not reproduce, modify, reverse engineer, distribute, or create derivative works from our proprietary materials except as necessary for your lawful personal use or as expressly permitted in writing by Northbridge Estate Planning Inc.

9. Force Majeure

Northbridge Estate Planning Inc. shall not be liable for any delay or failure to perform its obligations under these Terms to the extent caused by events beyond our reasonable control, including but not limited to natural disasters, fire, flood, epidemic, pandemic, labour disputes, power outages, internet failures, cyber incidents, governmental actions, war, civil unrest, or delays caused by third parties.

If a force majeure event occurs, we may suspend services or extend timelines for performance for the duration of the event and a reasonable recovery period thereafter.

10. Changes to Terms

We may update or modify these Terms from time to time to reflect changes in our services, legal requirements, or business practices. The updated Terms will be posted or otherwise made available to you and will be effective as of the date stated in the updated version, unless a different effective date is specified.

Your continued use of our services after any update constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue use of our services and, if applicable, request termination of your engagement in writing.

11. Applicable Law and Jurisdiction

These Terms and any dispute arising out of or relating to them, our services, or any related engagement shall be governed by and interpreted in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles.
